1. General
1.1 About the company
Simon's Freezer Meals is a members club offering chef-made frozen meals via a credit-based subscription delivered to members in Copenhagen.

Hereinafter referred to as ("SFM"), the company operates simonsfreezermeals.dk (the "Platform").
1.2 Acceptance of the Terms
By registering as a User on the Platform, the User accepts these Terms and Conditions (the "Terms"). The Terms govern the legal relationship between the User and SFM.
1.3 Definitions
- The Member: A paying user of the Platform with an active subscription.
- The User: Refers to both Members and Users of the Platform who have not yet paid for a membership, including waitlisted users.
- The Account: A personal user account used to log in to the Platform.
- Credits: The unit of currency within SFM. Each credit can be redeemed for one meal.
- The Menu: The rotating selection of meals available for ordering each month.
- Overstock Threshold: The maximum credit balance a Member may hold at billing before an automatic tier adjustment is applied.
- Pause Credit: A limited allowance that permits the Member to pause billing for one month.
2. The Service
2.1 Scope of the Service
SFM provides a service (the "Service") that allows the Member to order chef-made frozen meals through the Platform. Meals are produced in batches, delivered frozen on scheduled dates, and designed to be stored in the Member's freezer and reheated when needed.
2.2 Age requirement
Only individuals who are 18 years of age or older may purchase a membership with SFM.
2.3 Personal membership
The SFM membership is personal, and the Member is not entitled to transfer any rights or obligations under these Terms to a third party.
2.4 Accuracy of information
The Member is responsible for providing accurate and up-to-date personal information, including delivery address, contact details, and dietary preferences. SFM is not liable for failed deliveries or unsuitable meals resulting from incorrect or outdated information provided by the Member.
2.5 Service area
SFM delivers within Copenhagen. The exact service area is specified on the Platform. SFM reserves the right to modify the delivery area at any time.
2.6 Limited capacity
SFM operates with a limited number of membership seats. Membership is subject to availability, and SFM reserves the right to maintain a waitlist. When SFM is at production capacity, new memberships and tier upgrades may be temporarily suspended.
2.7 Menu
The Menu changes monthly. SFM determines the available dishes at its sole discretion. SFM does not guarantee access to specific dishes. Meal descriptions, ingredients, and images on the Platform are provided for informational purposes. Minor variations between the described meal and the delivered product may occur due to the nature of handmade food production.
3. Membership & Subscription
3.1 Membership tiers
SFM offers multiple membership tiers with varying credit amounts and per-meal pricing. Larger tiers unlock lower prices per meal. Current tiers and pricing are listed on the Platform.
3.2 Billing
The monthly subscription fee is charged in advance via the payment method registered on the Platform. All prices are stated in Danish kroner (DKK) and include applicable VAT (25%).
3.3 Failed payments
If a payment fails, SFM will attempt to collect the payment again. If payment cannot be collected, SFM reserves the right to suspend credit allocation and delivery until payment is received. Continued failure to pay may result in membership termination.
3.4 Price changes
SFM reserves the right to adjust pricing with at least 30 days' notice to active Members. The Member may cancel the membership before the new pricing takes effect.
3.5 Delivery
Delivery is included in the monthly subscription fee. SFM reserves the right to introduce separate delivery fees in the future, which will be communicated to Members in advance.
3.6 Order sizes
Each month, the Member places one order in a standard SFM order size (8, 12, 16, 20, 24, or 28 meals). The order size is independent of the Member's subscription tier.
4. Credits
4.1 Use of credits
The Member may use credits to order meals from the current Menu during the ordering window. Each credit equals one meal.
4.2 Allocation
Credits are added to the Member's account upon payment of the monthly subscription fee.
4.3 Rollover
Unused credits roll over indefinitely. As of the date of these Terms, credits do not expire. SFM reserves the right to introduce expiration rules in the future, which will be communicated to Members with reasonable notice.
4.4 No cash value
Credits have no cash value and cannot be exchanged for money, sold, or transferred to other Members, unless explicitly permitted by SFM.
4.5 Overstock threshold and automatic downgrade
Each subscription tier has a fixed overstock threshold. If the Member's credit balance equals or exceeds the overstock threshold at the time of billing, the Member's tier will be automatically downgraded by one level. The overstock check is evaluated before new credits are granted. Only one downgrade may occur per billing cycle. The lowest tier (8 meals/month) cannot be downgraded further. Current overstock thresholds are listed on the Platform.
4.6 Upgrade lock
A Member may only upgrade to a higher tier after their ordering window has closed and only if their credit balance is at or below 8 credits.
4.7 Bonus credits
Bonus credits may be awarded through referral programs, promotions, or loyalty rewards at SFM's discretion. Bonus credits are subject to the same rules as regular credits, including overstock thresholds.
4.8 Changes to the credit system
SFM reserves the right to modify the credit system, including overstock thresholds, rollover rules, upgrade conditions, and bonus structures, with reasonable notice to Members.
5. Orders & Delivery
Orders are placed through the Platform during designated ordering windows. Once submitted and the window closes, orders are final and cannot be modified. Meals are delivered frozen to the registered address. Members are responsible for receiving deliveries or providing safe drop-off instructions.
6. Pausing
Members receive limited pause credits per rolling 6-month period. Pausing suspends billing for one month. During a pause, no new credits are granted, but existing credits can still be used for ordering.
7. Cancellation
Members may cancel at any time. Cancellation takes effect at the end of the current billing period. All remaining credits are frozen upon cancellation and restored if the Member rejoins.
8. Right of Withdrawal
Under Danish Consumer Contracts Act §18(2)(4), the statutory 14-day right of withdrawal does not apply to food products. Once an order is placed and the ordering window closes, it cannot be withdrawn. The right of withdrawal does apply to the subscription itself, which may be cancelled at any time.
9. Food, Allergens & Safety
All meals are produced in a commercial kitchen registered with the Danish Food Authority and comply with food safety regulations. Allergen information is provided on labels and the Platform following EU Regulation 1169/2011. Cross-contamination cannot be fully excluded. Members are responsible for checking ingredient and allergen information before consuming meals.
10. Complaints
Defective products must be reported within 48 hours of delivery to hej@simonsfreezermeals.dk. Members have a 2-year right to complain under Danish Sale of Goods Act. Disputes may be filed with Nævnenes Hus or the EU Online Dispute Resolution platform.
11. Liability
SFM's total liability is limited to the subscription fee paid for the month in which the claim arose. SFM is not liable for indirect or consequential losses, except in cases of gross negligence or willful misconduct.
12. Personal Data & Marketing
SFM processes personal data in accordance with GDPR and Danish Data Protection Act. Data collected includes name, email, phone, address, order history, payment information, and dietary preferences. Members may withdraw marketing consent at any time.
13. Governing Law & Jurisdiction
These Terms are governed by Danish law. Disputes shall be settled by Copenhagen City Court as the court of first instance, unless otherwise required by mandatory consumer protection rules.
